National Development and Reform Commission: Moderate regulation of equity investment enterprises

  Equity investment enterprises with funds over 500 million yuan must be filed

Recently, the National Development and Reform Commission issued a notice on further standardizing the development and filing management of equity investment enterprises in pilot areas, stipulating the establishment, capital raising and investment fields, risk control mechanisms, responsibilities of management institutions, information disclosure systems, and other aspects of equity investment enterprises, requiring moderate regulation of equity investment enterprises.

The notice requires that various fund-type equity investment enterprises with a capital scale of over 500 million yuan must apply for filing and accept filing management.

All equity investment enterprises that have completed industrial and commercial registration in pilot areas, as well as equity investment enterprises that invest in equity investment enterprises, must file with the National Development and Reform Commission and accept filing management, except for the following three situations: 1. Those that have been filed as venture capital enterprises according to the Interim Measures for the Administration of Venture Capital Enterprises; 2. Those with a capital scale of less than 500 million yuan or equivalent foreign currency; 3. Those established with full funding from a single institution or individual, or those established with funding from two or more investors, but all these investors are wholly-owned subsidiaries of a single institution.

In addition to filing, equity investment enterprises must also submit annual business reports and financial reports to the National Development and Reform Commission within four months after the end of each accounting year. In the future, a national equity investment industry association will be established, which will conduct self-regulation of member units.
